Terms of Service

1. Acceptance of Terms

By accessing or using the OneSigner platform, website, API, or any services provided by One Sign Pte. Ltd. (“Company”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

OneSigner provides automated digital signing services including:

• PDF document signing using digital certificates
• Windows Authenticode code-signing (EXE, DLL, MSI, CAB, SYS and more)
• REST API for integration with third-party systems
• On-premise software licensing
• Resale of code-signing and document-signing certificates from partner CAs (SSL.com, GlobalSign, Sectigo)
• Optional cloud-hosted signing infrastructure (available on request)

3. Account and Access

You are responsible for maintaining the confidentiality of your API tokens, credentials, and hardware tokens. You must notify us immediately of any unauthorized access to your account.

You agree not to share, sell, or transfer your license key or API credentials to any third party without our written consent.

4. Software License

On-premise software is licensed under a perpetual license with one year of free updates. See our Software License Agreement for full terms.

5. Cloud Service Terms (Optional Service)

Cloud signing is an optional managed service, available on request under a separate service agreement. Where provided:

• Cloud services are provided on a subscription basis (monthly or annual)
• We target 99.9% uptime but do not guarantee uninterrupted service
• Document/signing quotas are per contract period and do not roll over
• Hardware tokens stored at our facility are kept in a secure, access-controlled environment

6. Acceptable Use

You agree not to use our services to:

• Sign malicious software, malware, or any content that violates applicable laws
• Forge, falsify, or misrepresent digital signatures
• Attempt to reverse-engineer, decompile, or disassemble the software
• Exceed your licensed quota or circumvent usage restrictions
• Distribute signed content that infringes on third-party intellectual property

7. Payment Terms

• All prices are in USD unless stated otherwise
• Payment is due upon order for perpetual licenses
• Cloud subscriptions are billed monthly or annually in advance
• Perpetual software licenses include a 30-day money-back guarantee from the date of purchase
• Certificate products are fulfilled after validation by the issuing Certificate Authority; once a certificate has been issued, it is non-refundable

8. Data and Privacy

We process your data in accordance with our Privacy Policy and Data Compliance policies. We do not access, read, or store the contents of your signed documents.

9. Limitation of Liability

To the maximum extent permitted by law, One Sign Pte. Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use our services. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access if you violate these terms. Upon termination of cloud services, your data and hardware tokens will be returned within 30 days upon written request.

11. Governing Law

These terms shall be governed by the laws of the Republic of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or through the platform. Continued use after changes constitutes acceptance.
