1. Grant of License
One Sign Pte. Ltd. ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable, perpetual license to use OneSigner software ("Software") subject to the following terms:
1.1 Perpetual License (On-Premise)
- License is perpetual — you may use the purchased version indefinitely
- License is bound to a single machine (identified by Hardware ID)
- Includes one (1) year of free software updates from date of purchase
- After the update period, the software continues to function; updates require renewal
1.2 Cloud License
- Access is provided for the duration of the active subscription
- Service terminates at the end of the billing period if not renewed
- Hardware tokens are returned within 30 days upon contract termination
2. License Tiers
- Basic: Single tenant, unlimited signing profiles, PDF + code signing
- Pro: Up to 5 tenants, multi-user support, custom folders
- Enterprise: Unlimited tenants, all features, custom development available
3. Restrictions
You may NOT:
- Copy, distribute, sublicense, or resell the Software
- Reverse-engineer, decompile, or disassemble the Software
- Remove or alter any proprietary notices, labels, or marks
- Transfer the license to another machine without prior authorization
- Use the Software on more machines than licensed
- Share license keys or API credentials with unauthorized parties
- Use the Software to sign malicious content
4. Intellectual Property
The Software, including all code, documentation, designs, and trademarks, is the intellectual property of One Sign Pte. Ltd. This license does not transfer ownership — it grants usage rights only.
5. Third-Party Components
The Software includes third-party components under their respective licenses:
- ScSignTool — MGTEK GmbH (free for use)
- signtool.exe — Microsoft Corporation (Windows SDK)
- Cloudflare Tunnel — Cloudflare, Inc. (Apache 2.0)
- iText — iText Group NV (AGPL/Commercial)
6. Updates and Support
- One year of free updates included with perpetual license purchase
- Update renewal available at 30% of the original license price per year
- Email support included with all license tiers
- Priority and dedicated support available for Pro and Enterprise
7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
IN NO EVENT SHALL ONE SIGN PTE. LTD. BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Termination
This license terminates automatically if you breach any of its terms. Upon termination, you must destroy all copies of the Software. Sections 4, 7, 8, and 11 survive termination.
10. Export Compliance
The Software may contain cryptographic functionality subject to export regulations. You agree to comply with all applicable export laws and regulations of Singapore and your jurisdiction.
11. Governing Law
This agreement is governed by the laws of the Republic of Singapore. Any disputes shall be resolved in the courts of Singapore.
